This Service Agreement (the “Agreement”) takes effect from 20/5/2022 and supersedes all previously similar documents.
The risks in trading or holding cryptocurrencies can be enormous. As with any asset, the value of cryptocurrencies can rise or fall and there may be significant risks. Depending on your financial conditions, you should carefully consider whether trading or holding cryptocurrencies. On the basis of considering all benefits and risks that may arise from or in connection with the transaction between the customers and WEPAY, customers agree to participate in the transaction and approve the provisions in the Agreement.
This is an agreement between the Customer and WEPAY TECHNOLOGY PTE. LTD (“WEPAY”):
WEPAY TECHNOLOGY PTE. LTD., a private limited liability company established in Singapore with the number of companies is: 201926332N, and has a registered address at: 160 ROBINSON ROAD #14-04 SINGAPORE (068914).
In the Agreement, “WEPAY” or “We” is used to refer to WEPAY depending on the services being discussed. You or Customer is used to refer to you who participate with WEPAY in this Agreement.
We refer to all WEPAY services related to VNDT wallet and VNDT stablecoin as “VNDT Services”, which can be accessed through the platform operated by WEPAY (“VNDT Platform”) (including online platforms accessible through the VNDT app or website).
To be eligible to use any VNDT Services, you must be 18 years of age or older and reside in the country in which the relevant VNDT Services are accessible. Please note that not all VNDT Services are available in every country.
The following services (“Cryptocurrency Services”) can be provided to customers by VNDT Platform:
Cryptocurrency storage wallet (“VNDT wallet”) allows customers to store, track, transfer and manage the balances of some supported cryptocurrencies such as Bitcoin or Ethereum, …. (collectively referred to as “cryptocurrencies”);
Cryptocurrency swap service allows you to swap between different cryptocurrencies on VNDT wallet
Crypto value-added service includes: Saving, Loan, Farming, …
The Customer agrees to be responsible for payment and paying all fees when using the service.
2.1. Register an account on VNDT Platform
To use the VNDT Services, the Customer needs to register an account on the VNDT Platform (“VNDT Account”) by providing details of the Customer’s information, including the Customer’s name, email address and password and accepting the terms of the Agreement.
You agree to use the VNDT Services only for yourself. You can only register one VNDT Account. You are solely responsible for all activities that occur in your VNDT Account.
We may refuse to open a VNDT Account for customers, suspend or terminate any VNDT Account (including but not limited to duplicate accounts) or suspend or terminate specific cryptocurrency trading in the Customer’s account if any signs of fraud are detected.
2.2. Identity verification – KYC
The Customer agrees to provide us with the information we request (we may request at any time deemed necessary) for the purpose of identity verification and detecting money laundering, terrorist financing, fraud or any other financial crime, including the provisions of the Account Verification Document. The Customer also allows us to retain such information. Please read carefully the information in the Account Verification section to understand the relevant regulations.
The information we request may include (but not limited to) personal information such as name, residence address, phone number, email address, date of birth, personal identification number, country identification number, information related to the Customer’s bank account (such as bank name, account type, account number). In providing us with this information or any other information that may be requested, the Customer confirms that such information is truthful, accurate and complete. The Customer undertakes to immediately notify us in writing and provide VNDT with information relating to any changes that may cause any information provided to be false, inaccurate or incomplete, and undertakes to provide any additional documents, records and information as required by VNDT and/or applicable law. The Customer allows us to keep records of such information. This information will be processed according to the provisions of the Customer Data Security section.
The Customer allows us to make requests, whether in person or through third parties, which we consider necessary to verify the Customer’s identity or protect the Customer and/or us against fraud or other financial crimes and to take actions that we deem reasonably necessary when we want to query. When we fulfill these requests, the Customer acknowledges and agrees that the Customer’s personal information may be disclosed to the legal authorities on fraud prevention or financial crimes… and that these agencies can fully respond to our requests.
3.1. Customer’s cryptocurrency ownership
All cryptocurrencies held in a Customer’s VNDT wallet (including those supported by VNDT), are assets held by VNDT on an asset depository basis for customers. This means:
You always take ownership of cryptocurrencies. As the owner of cryptocurrencies in your VNDT wallet, you will bear all the risks of reducing the value of these cryptocurrencies. VNDT does not assume any liability for fluctuations in the value of cryptocurrencies held in your VNDT wallet.
None of the cryptocurrencies in Customer’s VNDT wallet is the property of VNDT or can be used by VNDT for lending; VNDT does not represent the assets in the Customer’s VNDT wallet or considers the assets in the Customer’s VNDT wallet to be owned by VNDT. VNDT may not grant a warranty for cryptocurrencies to be kept in the Customer’s VNDT wallet. Unless there is a legally enforceable decision or judgment from a court, or a valid request from law enforcement or unless specified in the Agreement, VNDT will not sell, transfer, lend, mortgage or transfer cryptocurrencies in the Customer’s VNDT wallet unless requested by the Customer.
You control the cryptocurrencies in your VNDT wallet. At any time, you can withdraw your cryptocurrencies by sending them to another blockchain address controlled by you or a third party, depending on whether an outage occurred at that time, under the downtime of operation and depending on other applicable policies.
To keep the Customer’s cryptocurrencies more secure, VNDT can use commonly used blockchain addresses, to contain cryptocurrencies on behalf of the Customer and/or instead of VNDT. The Customer’s cryptocurrencies are separated from the cryptocurrencies of the VNDT by making separate ledgers for the Customer’s account and VNDT. Regardless of that, VNDT has no obligation to use various blockchain addresses to contain the Customer’s cryptocurrencies and cryptocurrencies owned by other customers or VNDT.
VNDT is under no obligation to issue any alternative cryptocurrencies in the event that any cryptocurrency, password or private key is lost, stolen, malfunctioned, destroyed or inaccessible.
3.2. Deposit/withdrawal and exchange transactions
The Customer’s VNDT wallet allows the Customer to send cryptocurrencies to and request, receive and store cryptocurrencies from other customers or third parties outside the VNDT Platform, by giving orders through the VNDT app (each such transaction is a “Cryptocurrency Transaction“).
We will make reasonable efforts to make all transactions (buy/sell), cryptocurrency exchanges, but in some cases, we may not be able to do these transactions.
Each cryptocurrency exchange (buy or sell) transaction is also subject to the Exchange rate for that transaction. “Exchange rate” means the price of a certain supported cryptocurrency in terms of VNDT units according to the quote on the VNDT application. The Exchange rate is expressed in the form of “Price of cryptocurrency to exchange” or “Price of cryptocurrency to be exchanged to”.
The Customer acknowledges that the Exchange rate may change constantly, when the Customer agrees to make a transaction which means that the Customer agrees to accept the Exchange Rate at the time the Customer trades.
When clicking on the Exchange button on the VNDT app, the Customer is empowering VNDT to start trading with the Exchange rate at the time of the successful transaction and he agrees with any related fees and any other fees.
The Customer cannot cancel, reverse or change transactions which are marked as completed or pending. If the Customer’s transaction is unsuccessful, the Customer allows us, depending on our own decision, to cancel the transaction. The Customer is responsible for maintaining the appropriate balance and/or sufficient cryptocurrency limit or fees. VNDT has the right to suspend access to the VNDT Services until such unpaid cryptocurrency is settled.
3.3. Onchain transaction
Cryptocurrency transactions cannot be reverted once they have been submitted to the blockchain system of the respective cryptocurrency. We may charge blockchain fees to process Cryptocurrency Transactions on behalf of the Customer. We will charge blockchain fees depending on our decision, however we will always notify the Customer of the blockchain fee at the time the Customer approves the Cryptocurrency Transaction or before. The blockchain fee for each individual transaction will be shown on the transaction page at the time of the transaction. When the Customer or third party deposits cryptocurrency from an external wallet (this wallet is not part of VNDT) to a VNDT wallet, the person who is performing the transaction is responsible for making the transaction properly, including paying blockchain fees for the transaction to be completed, and other issues. These transactions, if in a pending state, will be beyond the control of VNDT. We are not responsible for delays or losses that arise as a result of an error during the execution of the transaction, and we are under no obligation to assist in the remedy of such erroneous transactions.
After a Cryptocurrency Transaction is submitted to the cryptocurrency’s blockchain, that Transaction will not be confirmed during a period of time waiting for the cryptocurrency network to make a full confirmation of the transaction. Cryptocurrency Transaction is in a pending state means that the Transaction has not been completed. The amount of cryptocurrency related to Cryptocurrency Transaction in a pending state will be specified as pending and added to the balance in the Customer’s VNDT wallet and will not be available to carry out other Cryptocurrency Transactions until this Transaction is confirmed by the blockchain.
We may also refuse to process or cancel any pending Cryptocurrency Transaction as required by law, regulation of any other court or agency that The VNDT is subject to under this jurisdiction, for example in cases having be suspected money laundering, financing terrorism, fraud, or any other financial offense.
3.4. Supported Cryptocurrencies
Our Cryptocurrency services are only applicable to cryptocurrencies that VNDT supports, and supported cryptocurrencies may change over time.
We are not responsible or obliged in connection with the use of VNDT wallet from the Customer for cryptocurrencies that we do not support. The Customer acknowledges and agrees that VNDT is not responsible or legally responsible for any unsupported assets which are sent to the wallet associated with the Customer’s VNDT account.
Depending on The VNDT’s own decision, we may stop supporting any cryptocurrency. We will notify the Customer at least 03 days in advance (unless applicable law or regulatory authorities make a request to stop support for a shorter period of time) to the email address associated with the Customer’s VNDT account to notify of the discontinuation of support, or on the VNDT’s app, our website. If the Customer does not exchange or deposit such cryptocurrency out of the platform during this time, VNDT has the right to withdraw such cryptocurrencies from the Customer’s account and credit them to the Customer’s VNDT account at the market price of another supported cryptocurrency (the Exchange rate will be determined at our reasonable decision).
3.5. Operation of blockchains
We are not responsible for the operation of blockchains and we cannot guarantee the functionality or security of blockchain operations.
Blockchains can be subject to sudden changes in operating rules (including “forks”). Any such significant operational changes may affect the availability, value, functionality and/or name of the cryptocurrency that you holds in your VNDT wallet. VNDT has no control over the timing and features of these important operational changes. The Customer must be self-aware of the changes in upcoming activity and carefully consider the public information and information that VNDT can provide to determine whether to continue trading in the affected cryptocurrency by the Customer’s VNDT account. In the event of any such operational changes, VNDT reserves the right to take the necessary steps to protect the security and safety of assets held on the VNDT Platform, including a temporary suspension of operations for the relevant cryptocurrency(s), and other necessary steps; VNDT will make effort to inform the Customer of VNDT’s response to significant operational changes; however, such changes are beyond the control of the VNDT and may occur without being notified to VNDT. VNDT’s response to any significant changes to such activity is subject to the VNDT’s own decision and includes the decision not to support any new cryptocurrencies, forks or other actions.
The Customer acknowledges and accepts the risks of a change in operations for blockchain and agrees that VNDT is not responsible for such operational changes or any value losses that the Customer will likely experience as a result of changes to those operating rules. The Customer acknowledges and accepts that VNDT reserves full right to decide its response to any operational changes and that VNDT is not responsible for supporting customers with the operation of unsupported blockchains or cryptocurrencies.
3.6. Transactions involving third party
We have no control over or responsibility for the exchange transactions of customers who buy or receive or sell or transfer to any third party (including those of other customers of the Cryptocurrency Services). If the Customer has a problem with any goods or services purchased or sold to any third party who uses cryptocurrencies transferred by the Cryptocurrency Service or if the Customer has a dispute with that third party, the Customer needs to resolve the dispute directly with that third party.
If the Customer believes that the third party has cheated, misunderstood or acted inappropriately, or if the Customer is unable to resolve the dispute with a third party satisfactorily, the Customer can notify the VNDT Support Department at: https://vndt.com/home/contactus or send email to: [email protected]
4. TRANSACTION LIMIT
The use of all VNDT Services is subject to a limit on the volume of customers who can transact or transfer for a certain period of time (e.g., daily). Please see the Account Verification document for more details. To see the limits of customers, sign in to a VNDT account. The limits of the Customer’s transaction may vary depending on the completed account verification steps. We reserve the right to change the applicable limits as necessary. If you want to increase your limit to higher than the display level, you can submit a request at the [email protected]
We may request you to provide additional information about yourself, provide records and arrange a meeting with VNDT staff if you wish to raise your limit. Depending on our decision, VNDT may refuse to raise the limit for the Customer, VNDT may reduce the Customer’s limit at a later time, even if the Customer has completed the account verification steps.
5. RISK MANAGEMENT
– Refuse to complete or detain, block, cancel or reverse the transaction that the Customer has approved (even after the cryptocurrency has been recorded to the Customer’s VNDT account).
– Suspend, restrict or terminate the right to use any or all of the VNDT Services of the Customer.
– Deactivate or cancel the Customer’s VNDT account, and these actions take effect immediately.
For whatever reason, including but not limited to the following cases:
– We reasonably believe that we need to do this action to protect the reputation of VNDT;
– We are required to do in accordance with applicable laws, regulations or orders of any court or jurisdiction that we are subject to;
– We suspect with a reasonable opinion that the Customer has acted in violation of this Agreement;
– We suspect the Customer has violated our “Policy on Prohibited Use, Prohibited Business and Conditional Use”;
– We are concerned that a transaction has errors or concerned the security of the Customer’s VNDT account, or we suspect that the VNDT Services are being used in a fraudulent or unauthorized manner;
– We suspect money laundering, terrorist financing, fraud or any other financial offence;
– The Customer’s use of the VNDT account depends on pending litigation, investigation or government procedures and/or we perceive a high risk of non-compliance with laws or regulations relating to the operation of the Customer’s VNDT account; and/or
– The Customer takes any action that may affect our control, such as opening multiple VNDT accounts or abusing our incentive programs or support programs.
We may also refuse to complete or block, cancel or reverse the transaction that the Customer has authorized when there are not enough cryptocurrencies in the Customer’s VNDT wallet and/or in the case that there are not enough cryptocurrencies in the Customer’s VNDT wallet to settle the transaction and pay all the related fees (if any).
If we refuse to complete the transaction and/or suspend, restrict or close the Customer’s VNDT Account and/or terminate the Customer’s use of VNDT Services, we will (unless it is illegal for us to do so) send the Customer a notice of actions and reasons for refusing the transaction, suspending or closing the account and, where appropriate, we will also notify the Customer of the process to correct the errors that resulted in the refusal, suspension or closure of the Customer’s VNDT Account. In the event that we refuse to complete the transaction, suspend and/or close the Customer’s VNDT Account, we will cancel the suspension or complete the transaction as soon as possible when the reasons for the refusal and/or suspension are no longer available. However, we are under no obligation to allow the Customer to restore the transaction at the same price or with the same terms as the transaction that has been suspended, reversed or canceled.
We may suspend, restrict or terminate the right of the Customer to use any or all VNDT Services and/or deactivate or delete the Customer’s VNDT Account for no reason. The Customer acknowledges that our actions, including, to restrict the Customer’s access, suspend or close the Customer’s VNDT Account, may be based on confidential criteria that are essential to our risk management and security protocols. The Customer agrees that VNDT is under no obligation to disclose details of our risk management and security procedures to the Customer.
Upon termination of this Agreement for any reason, unless prohibited by applicable laws or by any court or other injunction to which VNDT is subject in any jurisdiction, the Customer is allowed to access the VNDT Account to:
- transfer cryptocurrencies out of the Customer’s VNDT wallet and/or out of the VNDT Platform, within ninety (90) days from the date of terminating this Agreement; and/or
- transfer cryptocurrencies out of the Customer’s VNDT wallet and/or out of the VNDT Platform, at any time within a period of ninety (90) days from the date of terminating this Agreement.
Customers are not allowed to use the VNDT Services or VNDT Account for any other purpose during this time and, at our discretion, we may limit the functionality of the VNDT Platform or the right to access to the Customer’s VNDT application.
If we suspend or close the Customer’s VNDT Account or terminate the Customer’s use of the VNDT Services for any reason, we reserve the right to request the Customer to re-complete the procedures outlined in the Account verification document – KYC before allowing the Customer to transfer or withdraw cryptocurrencies.
6. LEGAL RESPONSIBILITY
6.1. Legal responsibility
All the liability of VNDT to the Customer for any personal complaints or mass complaints relating to losses, expenses, liability or expenses that the Customer may incur as a result of or in connection with any breach of any agreement caused by VNDT, shall be limited to a maximum of the full value of cryptocurrencies deposited into the Customer’s VNDT wallet at the time of the relevant breach that caused by VNDT. In the case of processing a specific request related to a particular transaction, this liability shall be limited to the Assets of the corresponding disputed transaction which the Customer uses for trading (buy/sell).
If the Customer has a dispute with another customer or other customers using VNDT’s services, the Customer agrees that we will not be liable for any manner of complaints, requests and damages arising in connection with such disputes.
VNDT Services are provided on an “as is” and “as available” basis without any representation or warranty about the availability of VNDT Services. Specifically, we do not make any guarantee that imply the ownership, commercial ability or suitability for a particular purpose and/or ensure that there are no violations. We do not make any promise that access to the VNDT Platform or any VNDT Service or any material contained therein, will be continuous, uninterrupted, timely or error-free.
We do not make any statement about the accuracy, order, timeliness or adequacy of cryptocurrency price data contained in the VNDT application and the website. Any document, information, view, opinion, prediction or estimate shown on the VNDT application and the website are provided by VNDT only for the purpose of providing information and can be changed without prior notice. Customers must self-assess the relevance, timeliness, accuracy, adequacy, commercial value and reliability of documents, information, views, predictions or estimates on the VNDT application and the website. Accordingly, VNDT does not make any guarantee and VNDT disclaims any liability for any losses arising directly or indirectly from the actions of the Customer on the basis of any document, information, view, opinion, prediction or estimate provided by or through the VNDT application and the website.
VNDT Services, VNDT Platform, VNDT wallet application and the website do not provide specific investment or legal advice or make any recommendation on the suitability of any investment or product to any particular investor. Customers should seek independent advice on finance, laws, regulations, taxes or other advice before making investments or investing in any product. In case you choose not to seek advice from an appropriate advisor, you should consider whether the investment or product is suitable for you.
We will make reasonable efforts to ensure that cryptocurrency transactions and requests related to VNDT wallet are completed and resolved in a timely manner but VNDT does not declare or guarantee for the time it takes to complete the procedure that depends on many factors beyond our control. We will make reasonable efforts to ensure that the requests on the VNDT Platform are resolved in a timely manner, but we do not make any statement or guarantee for the time it takes to complete the resolution procedure, as this depends on many factors beyond our control.
We are not responsible for any breach of the Agreement, including delays, non-performance or disruption of services, where they arise directly or indirectly from unusual and unforeseen situations beyond our control and the consequences of which would have been unavoidable, nor are we liable where the breach is due to any action or inaction which is in order to comply with any law, rule, or regulation.
Right to access to VNDT Services may be reduced or unavailable during times of high trading volume or significant fluctuations. This may result in restrictions on the Customer’s access to VNDT Account or VNDT Services, including the inability to execute or complete transactions and may also result in time delays in responding to a request for support.
While we strive to provide the best service, we do not guarantee that the VNDT application, the website or other VNDT services are available without interruption, and we do not guarantee that any customer’s command will be executed, accepted, recorded or will remain opened, and we also do not guarantee that the Customer’s VNDT Account will be accessible. Please note that the response of our customer support team can be slow, even during times of high volume or large fluctuation, especially for inquiries regarding unreliable problems and safety.
In any case, VNDT shall not be liable for any alleged damages arising from service interruptions, delays in processing transactions or late response from the Customer support team of VNDT.
While we desire to provide accurate and timely information on the VNDT application and the website, the VNDT application and the website (including but not limited to the content of them) are not always completely accurate, adequate or keep updated and may also include technical errors or typos.
For the purpose of providing the Customer with the most adequate and accurate information as possible, to the extent permitted by applicable law, the information may be changed or updated from time to time without notice, including but not limited to information regarding our policies, products and services. Accordingly, the Customer should verify all information before trusting it. All decisions based on the information contained in the VNDT application and the website are solely the responsibility of the Customer, and we are not legally liable for such decisions.
Links to third-party’s documents (including but not limited to VNDT’s applications and websites) may be provided for convenience purposes but not controlled by us. Customers acknowledge and agree that we are not responsible for any aspect of the information, content or services contained in any material of third-party which can be accessed or linked from the VNDT application or the website.
Except for the express statements stated in this Agreement, you acknowledge and agree that you do not rely on any other statement or understanding, whether in writing or verbally, in connection with the use and access of the services applications and websites of VNDT.
Customers agree to indemnify us and our service providers for any cost (including attorneys’ fees and any fines, fees or penalties from regulatory bodies) that reasonably arises out of or in any way connected with any claim, request or damage regarding the Customer’s violations and/or our signing of this Agreement, including without limitation to the Customer’s violation of the Policy of Use.
7. CUSTOMER SUPPORT CENTER

When the Customer contacts us via email [email protected], please provide us the name, email address and phone number which the Customer uses for registering the VNDT account and the transaction that the Customer requests to respond to, has questions or complaints.
To ensure that our Customer’s accounts are secure, we have designed a security system with the highest level and recommended that Customers should use them. You are responsible for keeping the electronic devices used by you to access the VNDT Services safe, maintaining full security and controlling over any and all security information that you use to access the VNDT Services.
In any case, VNDT never asks the Customer to provide any ID, password or 2-factor authentication code or share the screen or seek to access the Customer’s computers or accounts. You should not provide your details to any third-party for the purpose of remote access to your account. Always log into the Customer’s VNDT Account through the VNDT application to review transactions or mandatory actions in case the Customer is uncertain about the authenticity of any contact information or notifications.
We are not liable for any losses that the Customer may incur as a result of login credentials being compromised without the fault of VNDT.
If the Customer suspect that the Customer’s VNDT Account or any of the Customer’s security information has been compromised or if the Customer become aware of any fraud or attempted fraud or any other security incident (including a cyber-security attack) affecting the Customer and/or VNDT, we recommend that the Customer notify VNDT Customer support center via email address: [email protected]
9. GENERAL TERMS
9.1. Customers’ observance of law
Customers must comply with all applicable laws, regulations, licensing requirements and rights of third-party (including but not limited to laws on data security, prevention of money laundering and laws against terrorist financing) when using the VNDT Services, VNDT Platform and VNDT application as well as our website.
9.2. Prohibited acts
With respect to the Customer’ use of the VNDT Services and the Customer’s interactions with other users and third parties, the Customer agrees to comply with our policies and regulations.
VNDT will immediately warn, suspend, freeze the Customer’s account temporarily or permanently or delete it and refuse to provide the Customer with VNDT Services if:
- The Customer violates this Agreement, our Policies or other relevant terms, including current and future agreements and policies;
- We have reasons to believe or suspect that there are fraud, scam or other illegal acts on the VNDT Platform;
- We believe that the Customer’s actions may violate the laws and affect the rights and interests of other third-party or affect VNDT.
We reserve the right to always monitor, review, retain and/or disclose any information necessary to comply with applicable laws, regulations, sanctions, legal processes or requests of law enforcement agencies.
9.3. Amendments and updates
We will notify Customers of any changes to the Agreement relating to the VNDT Services. In such cases, the Customer is deemed to have accepted such changes if the Customer does not notify us prior to the effective date of the change and continues to use the VNDT Services. If the Customer does not accept the change, the Customer must notify us and the Agreement will terminate at the expiration of the notice. The termination takes effect at any time before the expiration of the notice.
9.4. Relationship of the Parties
None of the contents of this Agreement shall be considered as or will be considered to establish a labor or partner or agent relationship between VNDT and Customers.
9.5. Contact information
You are responsible for keeping your contact information (including email address and phone number) up to date in the Customer’s VNDT Account profile in order to receive any notice or alert that we may send the Customer (including notices or alerts of an actual or suspected Security Breach).
Customers are solely responsible for determining if any tax is applied to the transaction processed through VNDT and the tax rate for such transactions, as well as it is the Customer’s responsibility to retain, collect, report and pay exactly the tax amount to the appropriate tax authorities. The Customer’s transaction history is available on the VNDT Account.
9.7. Unclaimed property
If we hold cryptocurrencies on behalf of a customer and we are unable to contact the Customer as well as have no record of the Customer’s use of the VNDT Services for several years, applicable laws may require us to report cryptocurrencies as unclaimed assets to the authorities in certain jurisdictions. We will try to find the Customer by the address shown in our records, but if we are unable to, we may be required to hand over any such cryptocurrency to the competent authorities in some jurisdictions as unclaimed property. We reserve the right to deduct an account dormancy fees or other administrative charges from such unclaimed property if permitted by applicable laws.
9.8. Account holder passed away
For security reasons, if we receive legal documents confirming the death of a customer or other information leading us to believe that the Customer has passed away, we will freeze the Customer’s VNDT Account and during this time, no transaction can be completed until: the Customer’s heir or administrator of estates who is legally designated by account holder has provided full documents proving the inheritance or transfer of the rights to them for managing and exploiting VNDT Services. The heir/transferee or administrator of estates is committed to complying with the relevant policies of VNDT on transferring the estates of the deceased account holder as well as the provisions of this Agreement, relevant policies and regulations regarding the use of VNDT Services.
9.9. Entire Agreement
This Agreement (including any document incorporated by reference herein) sets forth the entire understanding between the Customer and VNDT with respect to the title of this Agreement. This Agreement replaces any and all previous discussions, agreements and understandings of any kind (including but not limited to any previous version of this Agreement), and all natures between the Customer and VNDT.
This Agreement is personal to the Customer and you are not permitted to transfer or assign your rights, licenses, interests and/or obligations to any other party. However, Customers hereby acknowledge and agree that we shall have discretion to transfer or assign any of our rights, licenses, interests and/or obligations at any time to anyone else, including, without limitation, in connection with any merger, acquisition, or other corporate reorganization involving VNDT, provided that such transfer or assignment does not seriously affect quality of VNDT Services received by the User. In accordance with the aforementioned, this Agreement shall be binding and effective to the interests of the Parties, the heirs and the transferees.
9.11. Enforcement of our rights
The suspension, postponement or non-enforcement of our rights does not constitute any renunciation of the exercise of those rights, our rights remain reserved and could be implemented at any time of the transaction.
9.12. Change of control
In the event that VNDT is acquired or merged with a third-party legal entity, we maintain the right to assign or transfer information that we have collected from Customers and our relationship with you (including this Agreement) as part of the merger, buying back, selling, or change of other controls.
9.13. Governing Law
This Agreement and our relationship with Customers shall be governed by the laws of Singapore. You must make sure that you have complied with all domestic and international policies, regulations and circulars relating to the use of our VNDT Services as well as at the websites we link to.
This Agreement was drafted with the original language of English. This Agreement may, at VNDT’s sole and absolute discretion, be translated into a language other than the English language. You agree that any such translation shall only be for convenience and the English text shall prevail in the event of any ambiguity, discrepancy or omission as between the English text and any translated text.
